What You’ll Do

Sprinklr’s Legal Department is looking for Counsel – Commercial (Alliances) . You will be employed through our US entity and will be based in the United States or United Kingdom, remotely, and will primarily support our transactional operations globally as they relate to partnerships and alliances. This role reports into the SVP, Deputy General Counsel – Commercial and will work closely with, and be a key member of, Sprinklr’s Global Legal Team.

Key responsibilities:

• Managing, drafting, and negotiating all forms of partnership and alliance contracts with some of the world’s largest and most respected brands globally. This includes (but is not limited to) General Partner Agreements, Reseller Agreements, Lead Referral Agreements, Subcontract Agreements, Data Agreements, OEM Agreements, and other partnership Agreements.
• Advising the Sprinklr business on data protection/privacy and related matters related to Alliance Agreements
• Interpreting contractual terms and conditions and advising the Sprinklr business and management regarding contractual obligations
• Advising different teams across Sprinklr on mitigating legal risks in the commercial alliance partner/technology partner context and working closely with cross functional teams across the business
• Developing, implementing, and maintaining standard templates, forms, and processes related to alliances and technology partners
• Working closely with Legal and Sales Operations on changes needed to Sprinklr templates based on related partnership agreements
• Defining and implementing internal governance policies to ensure the company’s processes and practices are in full compliance with relevant laws, and regulations and terms of relevant agreements
• Providing training to the sales and services teams that you support and across the wider Sprinklr business as required.
• Working closely with alliances team on creating legal documentation that complies with the evolving Sprinklr partner program.
• Technology is at the heart of everything the legal team does. You will learn and leverage tools and technologies to improve productivity and business efficiency.
• Managing or assisting with other project-based work within the scope of the legal department responsibilities on as-needed basis, providing support as needed.

Who You Are & What Makes You Qualified

• You have at least five (5) years’ experience as a corporate attorney providing legal advice and negotiating agreements in a software/technology/start-up environment with an international company, or at a law firm providing such services to clients in that environment, with a focus on technology partnerships, alliances, data providers, and resellers.
• U.S. You are a qualified lawyer and hold a current and active license to practice law in any state in the U.S.A .
• U.K. You are a qualified lawyer and hold a current and active license to practice law in any state in the United Kingdom.
• You can demonstrate success working with sales and alliances teams in negotiations and contracting. Prior use of a contract lifecycle management software tool is a plus.
• You have an in-depth understanding of contract law and software contract requirements and strong skills in negotiating Alliances Agreements, including working with Sales Operations on any process or document changes needed due to executed partner agreements.
• You have first class knowledge of and experience working with global data privacy laws. An external certification in this area will be deemed a plus.
• You have excellent organizational skills and are a strong written and verbal communicator, with great attention to detail, common sense, and a sense of humor.
• You have a record of building strong working relationships with business stakeholders and work colleagues.
• You are outcomes-oriented, creative, and collaborative, able to think outside the box to arrive at business solutions.

The Role

We are looking for a high-performing Contracts Specialist to join Oyster Legal’s Growth Pod to contribute to the overall success of Oyster’s business. You will assist in accelerating the growth of a global HR/tech company. In this role, you will be working with members of Oyster’s Legal, Sales, Marketing, Product, and Operations teams, to ensure contracts are properly drafted, efficiency reviewed, and executed in accordance with our internal policies. You will support the creation of contract review playbooks and vendor management policies, working with other departments to resolve prospective and current customer questions and troubleshoot issues.

You will handle administrative tasks to ensure we are timely serving our business partners. You will focus on promoting customer satisfaction, along with other responsibilities, all of which will require critical thinking, innovation, and integrity. Being a fully distributed company, the Contracts Specialist will work synchronously and asynchronously with team members all over the world. We are looking for someone with wonderful attention to detail, strong multi-task skills, high energy, a positive attitude, and no camera shyness.

What you’ll do

Reporting to the Managing Counsel of Legal’s Growth Pod, the Contracts Specialist will support the Legal, Sales, Marketing, Product, and Operations teams as we help our customers grow remotely via a more efficient growth engine. This will include, but certainly is not limited to,

• Assisting with the drafting and negotiation of contracts, including collaborating with other departments to ensure compliance with local laws.
• Directing escalations involving prospective and current customers to legal counsel, and working with other team members to resolve questions and troubleshoot issues by helping to create internal resources used by our business partners.
• Working cross-functionally to enable Oyster’s Sales teams to close business deals in a timely and efficient manner.
• Coordinating contract signatures using the company’s preferred electronic signature software.
• Ensuring contracts are properly stored in Oyster’s contract management system.
• Assisting with development of policies, trainings, FAQs, playbooks, and other internal resources related to procurement and vendor management.

• Assisting with legal escalations including responding to inquiries from internal business stakeholders regarding legal guidelines, policy inquiries, and contract-specific questions.

Purpose:

The Policy Counsel/Associate Policy Counsel’s primary responsibilities will revolve around providing legal analysis and strategic advice to PPFA and Planned Parenthood affiliates on matters that implicate the Planned Parenthood mission, focusing primarily on state and local legislation, regulations, and other policies.

Engagement:

The Policy Counsel/Associate Policy Counsel will work most closely with the other three policy counsels, as well as with the rest of the PPL&L team. The position works across multiple isions within PPFA, including but not limited to the communications, health care operations, and government relations teams and with Planned Parenthood’s 49 affiliates across the country. The Policy Counsel/Associate Policy Counsel will also work with other organizations and national coalitions to assist in the development of long- and short-term strategies to protect and expand access to reproductive health care across the country.

The Policy Counsel will also support the career development of interns and paralegals and contribute to PPL&L’s ongoing work to center the communities most affected by laws restricting access to sexual and reproductive health and rights. To that end, the Policy Counsel should bring an intersectional and Racial Equity Diversity and Inclusion (REDI)-focused lens to their work.

Delivery:

The Policy Counsel/Associate Policy Counsel will work directly with PPFA staff and Planned Parenthood affiliates on legislative, regulatory and, occasionally, compliance matters related to protecting and expanding access to reproductive health care.

The Policy Counsel/Associate Policy Counsel will collaborate with affiliate public affairs staff to craft general goals and state-specific strategies to improve or defeat hostile legislation and regulations, and to develop and promote proactive legislation and regulation that protects or expands care for Planned Parenthood patients.

What you’ll be doing

You will be responsible for providing support to Fleetio’s Associate General Counsel, assisting with a very broad variety of legal and administrative matters, with a heavy emphasis on all aspects of drafting, reviewing and amending contracts.

• Prepare and File Foreign Qualifications
• Monitor changes to government guidelines or regulations and submit reports on pertinent changes – perform related legal research
• Manage and track deadlines for contracts, cases, and other case management
• obtain document signatures and check documents/signature blocks for legal entity accuracy
• Support legal department and corporate executives on special projects and other legal matters, as requested
• Assist with assembling, analyzing, and documenting facts for engagement matters
• Assist with imaging, media processing, document tracking, and chain of custody requirements.
• Experience working with confidential information
• Participate in document review requiring legal training and education including substantive relevancy, issue coding, privilege and redaction review as per engagement needs
• Assist in performing quality control activities for document review as needed

Qualifications and Education

• Bachelor’s Degree required
• J.D. or LLM a plus but not required
• minimum 3 years experience in corporate field (legal field preferred)
• Experience in corporate records management and entity organization
• experience with corporate finance a plus

Skills

• Proficiency with Microsoft Word, Excel, and Access.
• Knowledge of litigation management software including but not limited to Concordance, Introspect, Relativity, and cloud providers where necessary.
• Strong organizational skills with the ability to work under various deadlines in a fast paced environment
• Strong written and oral communication skills
• High level of discretion in handling confidential information
• Flexibility and willingness to assist in other areas as needed

Compensation and Benefits

Pay Details: $25.50 to $28.00 PER HOUR
