• Provide an effective system of tracking all tax filings for preparation through completion
• Calculate capital gains and losses, including year to date carried interest analysis
• Review investor distributions to coordinate and remit tax withholding as applicable (federal and state)
• Assist in the coordination of quarterly tax payments
• Coordinate triannual W-8 renewal. Coordinate review of W-8s for accuracy and completeness
• Track investments to analyze their eligibility for Qualified Small Business Stock (QSBS)
• Prepare periodic GP tax estimates
• Onboard new clients tax data, ensuring accuracy and completeness
• Build and maintain relationships with clients, managing client expectations and meeting all client deliverables
• Provide training and mentoring to the Tax Accountant, supervise and review Tax Accountant deliverables
• Keep GPFS staff updated as to relevant PE tax matters, via training sessions, newsletters and memos

Qualifications

• Bachelor's degree in Accounting, Finance, Economics, or related degree and/or an advanced degree in Accounting, Taxation, JD or L.L.M.

• Prepare journal entries and account reconciliations

As a Paralegal / Legal Assistant, you will work directly under the supervision of our General Counsel and related stakeholders in the organization on a variety of legal-adjacent and administrative issues as they arise. You’ll have the chance to assist with difficult, nuanced, high-stakes legal matters at a fast-moving and growing international non-profit straddling the tech and mental health services sectors, help the org function more efficiently, and interact regularly with legal and non-legal staff independently.

Responsibilities:

• Assist with drafting, negotiating, cross-functionally assessing, transmitting, and maintaining records relating to contracts throughout the org (including contracts for licensing intellectual property rights, collaboration partners, licensees / affiliates, international expansion)
• Research, monitor, and report to General Counsel and relevant stakeholders on relevant legal & regulatory matters (including but not limited to labor & employment, taxation, governance, regulatory, data privacy & security) and related risks affecting the org and/or its personnel
• Manage legal & legal-adjacent projects, deadlines, and requests, monitoring & triaging relevant issues for the Legal team and related stakeholders to ensure compliance, timeliness, & prioritization.
• Perform administrative tasks relating to alleged violations of org policies by volunteers, requests for deletion of volunteer / applicant account information, and requests for texter information, subject to strict confidentiality and privacy requirements.
• Conduct document collections; participate in internal investigations & witness preparation in connection with litigation, regulatory inquiries, internal investigations, or related matters.

Qualifications:

• B.A./B.S. required and or equivalent experience
• 2+ years experience as a paralegal or legal assistant required, specifically including experience with:
  • • drafting / negotiating contracts
    • intellectual property law
    • employment law
    • litigation matters
• Prefer experience with nonprofit, tax, governance, investigations, trademarks; experience working in a mid-size to large law firm or in-house, ideally in a NY nonprofit, but not required
• Exceptional organizational skills, agility, and regard for confidentiality. Ability to exhibit discretion and strong judgment. Demonstrated ability to act responsibly within interdisciplinary team contexts a plus, particularly in a fast-paced, entrepreneurial environment

Voldex is an acquirer of games on UGC platforms. We are searching for a Head of Acquisitions to partner with the CEO to acquire some of UGC gaming’s top titles.   • Evaluate systems and procedures to ensure efficiency and quality control
• Develop client’s annual budget and maintain cash forecasting tools as needed
• Manage the month-end closing and issue financial reports to all clients, every month
• Obtain and maintain a thorough understanding of the financial reporting, contracts and general ledger structure. Ensures all information is properly entered into QuickBooks & ICAT.
• Analyze financial and operational information to provide real-time, meaningful recommendations and implementing actions based on findings. Partner with client’s leadership on operational and strategic decisions to enhance their performance.
  • Develop and review financial and operating metrics through use of dashboards, including KPIS
  • Identify variances from the budget and report significant variances to client
• Execute client conference calls on a regular basis to review strategy, current and future needs, as well as operational changes affecting financial results
• Assist in gathering pertinent tax related information for external tax return preparation
• Coordinate the provision of information to external audits for the annual audit or review
• Comply with local, state, and federal government reporting requirements
• Review and approve monthly and quarterly tax filings - use/sales tax, property tax returns, payroll tax returns prepared by accounting specialists
• Complete special projects as requested by client

Accounting Team Leadership:

• Directs a team of virtual accounting professionals to accomplish priorities and deliverables in order to meticulously deliver timely and accurate monthly financial reporting package for multiple clients
• Support, train, motivate and mentor virtual accounting specialists in performance of their daily responsibilities so they can learn the tasks and procedures necessary to meet quality standards. Conduct timely performance reviews.
• Execute team meetings
• Utilize internal documentation system when updating/developing procedures and policies.
• Enforces a system of internal controls to verify integrity of processes and procedures are followed by staff

Internal Leadership:

• Provide strategic guidance and operational decision making to our client's customers senior leadership team. Recommend and implement best practices to add value.
• Assist with interviewing and onboarding new team members, as needed
• Partner and collaborate with other Controllers/Senior Controllers on best practices to enhance company knowledge sharing culture

The Controller/Senior Controller candidate will have extensive knowledge in accounting for businesses in the under $20M market.  The ideal candidate should have 10 – 15 years of progressive accounting experience, with a combination 5+ years in public accounting and 5+ years in private industry.

In addition:

• Active CPA license
• Several years of direct, client facing outsourced accounting experience
• 5 years supervisory experience
• Strong experience with QuickBooks, ICAT and/or other accounting software packages
• Must have government contracting industry experience. Candidate must have a solid understanding of federal contracts, full accrual accounting and working knowledge of FAR, CAS, and DCAA requirements.
• Ability to multi-task and set daily, weekly and monthly priorities
• Adaptive leadership style with a passion for mentoring staff. Exceptional ability to work with all levels of within the organization while fostering a team environment.
• Excellent written and oral communication skills with ability to express oneself confidently
• Experience with hands on accounting with small to medium size businesses and ability to roll up your sleeves to get things done

What does the Legal department look like?

A growing team, you will have a broad portfolio that lets you engage with every part of the business. Working closely with Risk, Compliance and Finance, and reporting into the General Counsel, we enjoy solving problems together through open communication and collaboration while respecting each other’s ideas.

You will be responsible for scaling up our legal function to meet the needs of our growing company. The challenges of growth at scale are exciting, and you’ll be at the forefront of our plans to solve them.

What you’ll get up to:

• Work closely with internal stakeholders, including senior management, external legal counsel and other external parties on a wide range of strategic business objectives  impacting Partnerships, Product, Engineering, Security, People Ops, IT, Customer Success, Sales and Marketing
• Review, draft, negotiate and drive to completion commercial agreements, including partnership agreements, software license and other vendor agreements, and NDAs to name a few 
• Assist with development of company policies, templates and online terms
• Support financings and other transactions
• Support litigation matters
• Proactively monitor legal developments, advise and support on various compliance, employment, and regulatory matters including privacy laws
• Assist with the preparation of Board and Committee materials and other corporate matters (including stock option issues, share transfers, minutes, preparation of resolutions, etc.)
• Support implementation of legal processes and company-wide training to scale and standardize the provision of legal services at Bench
• Assist with management of intellectual property portfolio.

What you’ll need:

• 4-7 years post-call experience gained at a major law firm or in-house counsel role in a mid-large technology company. Experience in both would be preferred
• Membership in good standing with the Law Society of British Columbia (or other Canadian bar, subject to membership eligibility in BC)
• Strong negotiation skills and a strong understanding of partnerships, contracts, and Canadian privacy law in order to successfully advocate for Bench
• Broad corporate commercial experience, transactional experience an asset
• Experience with and strong knowledge of US and Canadian data privacy laws 
• Self-motivated team player with the ability to drive projects, identify/resolve legal and business issues with large degree of independence, seeking guidance when necessary
• Exceptional project management skills, attention to detail, with an ability to quickly digest and understand the big picture
• High degree of initiative in managing multiple priorities simultaneously in a fast-paced, deadline-driven work environment
