Summary of Role & Key Responsibilities

This is a unique opportunity where are seeking an experienced, highly organized and detail-oriented inidual to join our growing and dynamic legal team as a Corporate Paralegal to perform critical work. This position is a 6-month contracted role.

The Corporate Paralegal will offer services in corporate legal and contractual matters and other specific business legal needs under the direction and oversight of Legal Counsel. The paralegal will be working on a wide variety of matters across our organization including those relating to commercial contracts, legal research and analysis, privacy and compliance, intellectual property, and corporate governance. This position will support the in-house attorney, principally working on corporate, litigation, claims or other matters with responsibility for day-to-day activities. The ideal candidate for this position will have excellent communication and technical skills, thrive in a team environment, and work independently with initiative and drive. The Corporate Paralegal will perform the following as well as such other tasks as may be assigned by the company’s Legal Counsel:

Key Responsibilities:

• Proofreading, reviewing, preparing, circulating, collecting, and assembling legal agreements, confidentiality agreements, other documents, and correspondence and arrange agreements
• Reviewing and/or drafting, filing, and managing various business entity documents for state agencies & organizational documents, including articles of incorporation or certificate of formation, governing documents, legal documents and obtaining federal EINs.
• Attending meetings, taking notes, and preparing resolutions. Maintain calendar of events and deadlines.
• Renewing and maintaining company and customer permits, licensing, and making federal, state, and local filings.
• Performing legal & factual research, which could include supporting special projects / project management
• Reviewing, tracking, and monitoring legislation, laws, regulations, rulings, and orders that may impact the company’s and its clients’ businesses and updating leadership accordingly
• Assist in the drafting and review of commercial agreements including preparing contracts, using Company templates and forms and creating contract summaries & implementing the changes cross the business
• Manage intake, triage and workflow for the review of commercial contracts and other requests received by the Legal department.
• Confirm contract terms for accuracy and ensure proper department approvals are obtained prior to contract execution.
• Assist with the retention of corporate documents and in maintaining an organized legal document management system.
• Assist with compliance and corporate governance matters including the updating of privacy policies, website terms and conditions and other related documents.
• Assist with due diligence activities related to corporate transactions.
• Set up and maintain matters in case management system, handle incoming mail and service of process.
• Correspond with outside counsel, third parties, and business units.
• Provide legal support to attorneys, including administrative duties and scheduling.
• Act as a liaison between outside counsel, internal departments, and in-house attorneys.
• Create and deliver monthly, quarterly, and annual legal department reports.
• Resolve routine legal issues under the direction of senior staff.
• Coordinate with internal and external parties to ensure timely completion of important items.

• Bachelor’s degree and/or paralegal certificate/degree preferred.
• At least 3+ years of paralegal experience working on corporate legal matters, ideally with in-house experience.
• 1-2 years relevant experience in professional services, preferably 2+ years.
• Outstanding written, verbal communication skills and drafting skills, with close attention to detail
• Ability to problem solve and take the initiative.
• Strong organizational skills with the ability to multitask.
• Must be tech savvy – Familiar with computer security best practices & Proficiency in Microsoft Office Suite.

The Role

What you’ll do

Oyster is looking for a Litigation Counsel to contribute to Oyster’s growth to become the world leader in global distributed working. Reporting to the Senior Managing Counsel, your responsibilities will include, but are not limited to, managing legal claims and/or disputes (both commercial and employment-related claims) in conjunction with outside counsel; advising internal stakeholders regarding collections efforts, employment law disputes, and a variety of legal issues; building claims management procedures and protocols; and supporting cross-functional teams in building a scalable, marketable, and successful technology platform. This role will straddle the commercial and employment aspects of Oyster’s business, so the ability to understand the intersection of both in Oyster’s model is key. The role will require that you bring a balanced and practical lens to everything you do. You will need to be flexible, think on your feet and outside-the-box. What we’re looking for

• Juris Doctorate or other qualified lawyer with at least 4-6 years experience as a fully licensed, practicing attorney
• In-depth knowledge of, and experience in commercial and/or employment law
• General litigation and/or other claims-handling knowledge and experience

• Experience in corporate advisory and analysis of commercial agreements

We’re looking for a Paralegal to the commercial legal team. You will be a partner to the business, including sales, marketing, and engineering teams on any commercial matters. Your Mission

Nuvei is currently seeking a Corporate Paralegal to support our in-house legal team at the Montreal Head Office. The ideal candidate has between 4-6 years of experience in corporate law. He or she is, resourceful, autonomous, efficient, and has great ease working alone as well as within a team environment. This person is able to handle a variety of issues within tight deadlines, has a great sense of professionalism, and excels under pressure.

Key responsibilities include, but are not limited to:

• In collaboration with the global in-house legal team, maintaining and filing corporate records for domestic and international entities forming part of the Nuvei group structure, including:
  • Drafting corporate documents, such as director and shareholder resolutions, meeting minutes, annual and timely filings with corporate registrars, etc.;
  • Coordinating and receiving signatures for corporate documents and filings;

Position Overview:

Slash is looking for a dynamic and experienced Head of Compliance to lead our compliance function. Hopper is seeking an experienced international transactional attorney to join its growing global legal team as Associate Counsel for its Fintech and Cloud Business.

In this role, you will report to the Deputy General Counsel and work closely with the growing Fintech and Cloud legal team, product leads, and other senior business partners to drive and execute commercial contracts with Hopper’s B2B partners around the world. In doing so, you will provide innovative solutions to cross-border remittance issues arising under complex commercial contracts that will govern the provision of Hopper’s travel and fintech services to airlines, banks and online travel agencies and their respective customers. The core function of this role is commercial contracting, and the right person will have a strong foundation in withholding tax and indirect tax (VAT/DST/sales tax) as a complementary skillset.

You will be a self-starter with intellectual curiosity and a willingness to roll up your sleeves and tackle unfamiliar tax issues in new markets to remove blockers and facilitate deal close. You will be eager to unpack the complexities needed to close cross-border commercial transactions as a rapidly-scaling B2B business with a home base in Canada and significant operations in the U.S. that operates globally with subsidiaries and affiliates in 38+ countries.

Primary Responsibilities:

• Negotiate, draft and close the distributed fintech and Cloud contracts that contribute to Hopper’s success. Research indirect tax issues in foreign markets to address questions from prospective B2B partners that arise in contracting. Devise tax efficient solutions to withholding issues, taking into account Hopper’s corporate structure. Achieve optimal results in B2B contract negotiating across a wide range of legal topics, such as intellectual property, sanctions compliance, payments regulation and data privacy. Partner with business development on commercial negotiations.
• Advise product teams on a range of issues in developing innovative product structures, including new and emerging legal and regulatory developments impacting Hopper’s B2B distribution of fintech products, travel portals and website services (a new area of growth for Hopper).
• Help scope and build scalable and effective processes for legal review and launch of new products, including drafting and maintaining terms and conditions for products sold on Hopper’s sites and its B2B partners’ sites.

Secondary Responsibilities:

• Advise on all issues affecting Hopper’s business globally, including consumer protection, intellectual property, regulatory compliance, data privacy and information security, and corporate governance.

Qualifications & Background Requirements:

• J.D. or LLM in the United States; Three (3) years minimum experience in an in-house position, government and/or law firm practice advising a wide range of industries (including consumer products and technology services) on commercial contracting matters, including withholding and indirect tax issues;

• Commercial / Deal Desk: Review, draft, negotiate, and streamline on a wide-range of client contracts across different sizes.
