Position Summary:

The Sr. Compliance Paralegal is a key member of our dynamic and innovative Legal department. They are responsible for developing, reviewing, and updating compliance policies and procedures and for supporting the development and delivery of ethics and compliance communications and training. The Sr. Paralegal also leads the project management of cross-functional and global initiatives including the implementation and maintenance of a document management system and the quarterly ethics and compliance management reporting.

Essential Responsibilities:

• Conduct legal research into legal and regulatory compliance requirements
• Draft, review, and update compliance policies and procedures in accordance with applicable laws, regulations, and company values
• Support the development of training and communications materials on compliance topics
• Conduct compliance monitoring and auditing activities to assess the effectiveness of compliance controls
• Track and report on compliance metrics and key performance indicators
• Assist in the investigation and resolution of compliance issues and incidents
• Research and analyze emerging compliance trends, best practices, and regulatory developments
• Manage compliance projects and initiatives from inception to completion, ensuring timely delivery and achievement of projective objectives
• Apply project management best practices and tools to plan, execute, monitor, and control compliance projects
• Assist with due diligence on third parties

Ideal Skills, Experience, and Competencies:

• At least ten (10) years of experience as a paralegal or compliance professional in a multinational technology company or a law firm
• Knowledge of various legal risk areas, such as anti-corruption, data privacy, trade compliance, and intellectual property
• Experience in drafting policies and procedures, developing and delivering training programs, conducting monitoring and auditing activities, reporting on compliance metrics
• Excellent skills in Microsoft Office applications (e.g., Word, Excel, PowerPoint)
• Excellent project management skills

Required Education & Certifications:

POSITION PURPOSE:

As Corporate Counsel, you will be a part of the Legal team providing legal support for various legal matters with primary responsibilities for compliance efforts across the organization. What You’ll Do

Sprinklr’s Legal Department is looking for Counsel – Commercial (Alliances) . You will be employed through our US entity and will be based in the United States or United Kingdom, remotely, and will primarily support our transactional operations globally as they relate to partnerships and alliances. This role reports into the SVP, Deputy General Counsel – Commercial and will work closely with, and be a key member of, Sprinklr’s Global Legal Team.

Key responsibilities:

• Managing, drafting, and negotiating all forms of partnership and alliance contracts with some of the world’s largest and most respected brands globally. This includes (but is not limited to) General Partner Agreements, Reseller Agreements, Lead Referral Agreements, Subcontract Agreements, Data Agreements, OEM Agreements, and other partnership Agreements.
• Advising the Sprinklr business on data protection/privacy and related matters related to Alliance Agreements
• Interpreting contractual terms and conditions and advising the Sprinklr business and management regarding contractual obligations
• Advising different teams across Sprinklr on mitigating legal risks in the commercial alliance partner/technology partner context and working closely with cross functional teams across the business
• Developing, implementing, and maintaining standard templates, forms, and processes related to alliances and technology partners
• Working closely with Legal and Sales Operations on changes needed to Sprinklr templates based on related partnership agreements
• Defining and implementing internal governance policies to ensure the company’s processes and practices are in full compliance with relevant laws, and regulations and terms of relevant agreements
• Providing training to the sales and services teams that you support and across the wider Sprinklr business as required.
• Working closely with alliances team on creating legal documentation that complies with the evolving Sprinklr partner program.
• Technology is at the heart of everything the legal team does. You will learn and leverage tools and technologies to improve productivity and business efficiency.
• Managing or assisting with other project-based work within the scope of the legal department responsibilities on as-needed basis, providing support as needed.

Who You Are & What Makes You Qualified

• You have at least five (5) years’ experience as a corporate attorney providing legal advice and negotiating agreements in a software/technology/start-up environment with an international company, or at a law firm providing such services to clients in that environment, with a focus on technology partnerships, alliances, data providers, and resellers.
• U.S. You are a qualified lawyer and hold a current and active license to practice law in any state in the U.S.A .
• U.K. You are a qualified lawyer and hold a current and active license to practice law in any state in the United Kingdom.
• You can demonstrate success working with sales and alliances teams in negotiations and contracting. Prior use of a contract lifecycle management software tool is a plus.
• You have an in-depth understanding of contract law and software contract requirements and strong skills in negotiating Alliances Agreements, including working with Sales Operations on any process or document changes needed due to executed partner agreements.
• You have first class knowledge of and experience working with global data privacy laws. An external certification in this area will be deemed a plus.
• You have excellent organizational skills and are a strong written and verbal communicator, with great attention to detail, common sense, and a sense of humor.

About the role and why it’s unique:

• Own and maintain the legal department’s document management repository in Ironclad
• Oversee the legal department’s budget, including tracking monthly legal spend and forecasting future spend

Responsibilities

Requirements

• 4+ years of relevant work experience at law firms and/or in-house.
• A member in good standing with the California or New York State Bar (or qualified for or willing to apply for and maintain Registered In-House Counsel status with the California State Bar).
• A strong track record of drafting, negotiating and advising on a wide range of commercial agreements, with the ability to identify and analyze core legal issues.

Position Summary:

KIND seeks a Paralegal who will be responsible for supporting KIND’s delivery of legal services through a range of case support tasks in coordination with our attorneys. Paralegals are responsible for conducting client intakes, legal research, preparation of immigration forms, drafting affidavits, maintaining files and data, hearing preparation, social services referrals, and other related duties. Essential Functions:

About The Role

• Prepare and maintain accurate and complete company records for domestic and international legal entities in compliance with applicable legal requirements.

• Transaction Support

• Prepare and file legal documents for venture capital financings, domestic and cross-border mergers and acquisitions and other transactions; support due diligence, including indexing data rooms and preparing due diligence checklists; and assist with closings, including organizing, proofreading, and tracking the execution of documents.
• Administer certain HLUS global chemicals subsidiaries’ contracts; and support filing and maintaining city and state licenses and annual reports for HLUS and its global subsidiaries.
• Support attorneys to develop and update standard form agreements and templates of certain FUJIFILM chemicals subsidiaries, ensuring alignment with internal company policies and applicable laws.

Required Skills and Experience

The ideal candidate will be a corporate paralegal with a minimum of five years of experience assisting with (a) SEC filings, (b) corporate governance matters, and (c) subsidiary management. Responsibilities include but are not limited to:

• Preparing and filing various SEC documents, including Section 16 filings and assisting with the preparation of annual, quarterly and ad hoc disclosures

About the role:

We are seeking a paralegal or contract specialist with broad-based corporate commercial legal experience to join D-Wave’s Legal department to work on D-Wave’s global legal issues and support D-Wave’s legal operations. You’ll report to D-Wave’s Lead Corporate Paralegal.

You’ll play an important role in our corporate office enabling our internal business teams and forming strong relationships throughout. For candidates coming from a legal firm without in-house experience, training on in-house projects, such as contract preparation and supplier contract reviews will be provided.

What you’ll do:

• Provide general operational assistance to the Legal department and liaise with other business units to address departmental needs in a timely manner.
• Prepare standard contracts using D-Wave’s existing templates, such as nondisclosure agreements and SAAS agreements.
