About the role and why its unique:

This role will assist with commercial agreements, corporate transactions, corporate governance matters, and legal operations including:

• Preparing legal documents, contracts, and agreements under the guidance of the legal team
• Conducting legal research on various topics and provide summaries and recommendations to the legal team
• Maintain and organize legal files, documents, and databases
• Managing contract review and approval processes
• Assisting with management of contract lifecycle, including contract tracking, renewal, and expiration
• Collaborating with internal departments to ensure legal compliance in company practices and policies
• Drafting correspondence and communicating with external parties, such as vendors, regulatory authorities, and other law firms
• Handling administrative tasks as necessary to support the legal team’s operations.
• Assisting with managing outside counsel and external legal spend
• You will work with our Associate General Counsel of Corporate and Finance as well as the rest of our legal team and various other departments within the company

Who you are:

• Bachelors Degree and Paralegal Certificate or equivalent training
• 5 – 7 years of relevant paralegal experience, with 2+ of those years in an in-house position
• Desire and ability to work in a fast-paced and challenging environment
• Team player, with strong communication, organizational, and drafting skills
• Detail-oriented and able to accommodate tight deadlines
• Demonstrated ability to maintain confidentiality and exercise sound judgment in handling sensitive information
• Excellent computer skills including the entire suite of Microsoft Office

• Corporate Governance

• Prepare, track, and file governance documents for the board of HLUS and its global subsidiaries, including: board agendas, notices, minutes, consents, resolutions, subscription agreements, operating agreements, bylaws, shareholder agreements, partnership agreements, joint venture agreements, intercompany loans, promissory notes, services agreements; maintain minutes books, stock certificates, stock ledgers, and membership interest ledgers; update and maintain company records in connection with director and officer changes, equity interest and ownership changes, entity formation and naming, dissolutions, and reorganizations, idend distributions, and other related and miscellaneous documents.
• Plan, organize, and execute board meetings of HLUS and its global subsidiaries, including timely deliveries of meeting notices and agendas; collecting board meeting materials; preparing, distributing, and coordinating the execution of board meeting minutes and resolutions.
• Prepare and maintain accurate and complete company records for domestic and international legal entities in compliance with applicable legal requirements.

• Transaction Support

• Prepare and file legal documents for venture capital financings, domestic and cross-border mergers and acquisitions and other transactions; support due diligence, including indexing data rooms and preparing due diligence checklists; and assist with closings, including organizing, proofreading, and tracking the execution of documents.
• Administer certain HLUS global chemicals subsidiaries’ contracts; and support filing and maintaining city and state licenses and annual reports for HLUS and its global subsidiaries.
• Support attorneys to develop and update standard form agreements and templates of certain FUJIFILM chemicals subsidiaries, ensuring alignment with internal company policies and applicable laws.

• Research and Writing
  • Conduct legal research related to organizational and governance matters, regulations, and compliance requirements.
  • Develop presentation materials, including training materials on contracting and procurement and other corporate and compliance materials.
  • Draft legal correspondence and summarize legal issues and prepare reports for attorney review.
• General Legal Support
  • Provide general support in connection with legal and substantive matters to attorneys and assist with special projects.
  • Collaborate with cross-functional teams to ensure legal compliance across various departments.

Required Skills and Experience

• Bachelor’s degree in Paralegal Studies, Legal Studies, or related fields; or (2) Bachelor’s degree with Paralegal Certificate.
• Minimum 10 years of corporate paralegal experience, with at least 4 of which was spent in the corporate department of a law firm and the balance of which was spent in an in-house legal department, preferably with a multinational company.
• Thorough understanding of corporate law, contract law, and board matters and procedures.
• Familiarity with online board portals and entity management software a plus.
• Excellent legal research skills (Westlaw or Lexis) and computer skills that include MS Word/Outlook including Excel, PowerPoint and Visio, contracts management, and legal software applications are needed.
• Strong organizational skills with attention to detail, the ability to work on multiple tasks simultaneously and flexibility to adapt to dynamic circumstances.

What you’ll be doing

You will be responsible for providing support to Fleetio’s Associate General Counsel, assisting with a very broad variety of legal and administrative matters, with a heavy emphasis on all aspects of drafting, reviewing and amending contracts.

Key Responsibilities

• Assist with reviewing, drafting, populating, and redlining agreements such as MSAs, non-disclosure agreements, statements of work, and various customer/vendor agreements.
• Work effectively with, and respond to various i requests from, internal business teams regarding agreements, legal processes, supplier/vendor and other documents, etc.

An overview of this role

Summary of Role & Key Responsibilities

Your Mission

Overview:

Chainlink Labs is seeking a highly skilled and motivated Associate General Counsel to join our legal team. This transactional-focused role will involve supporting the Go-To-Market team, leading and negotiating agreements, and contributing to the growth and success of Chainlink Labs.

The ideal candidate will have exemplary drafting and negotiation skills, a keen interest in learning about emerging blockchain technology issues, and the ability to adapt to our evolving business needs. Objectives of this Role

• Leading negotiation of complex commercial transactions for a fast growing technology company.
• Inheriting and further systematizing user agreements, ecosystem partnerships and collaborations, and drafting and negotiating key agreements to ensure consistency and efficiency in our business.
• Collaborating with cross-disciplinary colleagues to provide comprehensive legal support to various internal stakeholders, including management.
• Presenting effective solutions and driving efficient negotiation processes with the Go-To-Market team and our counterparties, ensuring successful outcomes.

Skills & Qualifications

• Exemplary drafting and negotiation skills, with a proven track record of successfully navigating bespoke agreements.
• Demonstrated interest and aptitude for learning about complex technologies and associated legal issues.
• Willingness to adapt to the evolving needs of our growing business, demonstrating flexibility and agility.
• 8-10 years of in-house or law firm experience in transactional or M&A work.
• Strong academic record and relevant work experience demonstrating expertise in transactional legal matters.

Preferred Qualifications

• Prior blockchain experience, demonstrating familiarity with the unique legal considerations in the blockchain industry.
• Previous experience in-house within a transactional role, highlighting your ability to provide strategic legal advice in a corporate setting.
• Prior experience building a legal team, showcasing your leadership and management capabilities.

This role is location agnostic anywhere in the world, but we ask that you overlap some working hours with Eastern Standard Time (EST).
