Job Summary:

This is an in-house counsel role with the Legal Department’s Dispute Resolution Services – Corporate Litigation group, which principally manages class litigation and complex litigation challenging the company’s policies, practices and procedures. The primary duties of this role include managing complex litigation and legal issues faced by the company and its subsidiaries and affiliates, as well as providing advice and counsel to the business with respect to emerging legal issues and risks.

Key Responsibilities:

• Managing lawsuits and other legal disputes, including overseeing outside counsel in defense of such matters
• Interviewing and retaining law firms/ outside counsel, including managing budgets
• Reviewing and developing appropriate strategies for assigned matters
• Reviewing and revising pleadings, motions and significant case filings
• Serving as strategic legal partner to business, providing reports on substantive developments in legal matters, as well as advice and counsel on risk mitigation strategies and legal compliance
• Developing strategy for and participating in mediations/settlement conferences
• Preparing/reviewing settlement agreements
• Analyzing, responding to agency charges, and representing company at agency hearings
• Internally overseeing discovery process, including reviewing discovery requests and developing strategy and responses, collecting and producing internal documents, coordinating e-discovery, and interviewing information custodians and/or fact witnesses
• Assisting with preparing fact, corporate and expert witnesses for depositions, arbitrations and trials, and attending depositions, as appropriate
• Attending court appearances, as appropriate, including significant hearings, trials, mediations, and settlement conferences
• Actively participating in cross-functional teams to assess business practices and procedures and proactively counsel on emerging issues and legal/litigation risks
• Preparing and presenting various internal and external reports on significant litigation and legal issues
• Other duties as assigned

Education and Experience:

• Ideal candidate will have 7+ years of complex litigation experience; class litigation experience is required; insurance experience is preferred.
• J.D. from an accredited institution and active state bar license in good standing
• Motivated self-starter with legal acumen and business knowledge

The Role

• Act as a liaison between internal and external clients to efficiently drive the contract review and approval process to conclusion, and provide project management support for various ad hoc data collection projects as needed.
• Provide support on transactional business development initiatives.
• Support various projects and other duties as assigned.

Qualifications

Minimum Qualifications

• 5-8 years of relevant experience, ideally with both a law firm and in-house corporate legal team supporting contracts management and corporate administration.
• Excellent verbal, written, analytical and persuasive skills (including with regard to contract negotiation) and the ability to interact effectively and collaboratively with all levels of employees and management.
• Experience with e-commerce and experience working with international sales teams, are a plus.

E-Billing, Outside Counsel / Vendor Management, Technology / Data Management

Overview of the Role

Reporting directly to the Head of HR, you will work closely with the Compliance, Regulations, AdminOps, and Operations Teams to drive strategy for our legal geographic expansion processes such as state licenses, city registrations, project permits, and customer & subcontractor contracts. Additionally, you may also support decisions and provide guidance around company insurance, review company contracts, track and monitor compliance and advise on legal and compliance issues.

We are looking for someone who is comfortable running a team and building playbooks and lean processes at the ground level.

Responsibilities

• Research and create a strategic plan to meet the national compliance needs which vary by state and city
  • Ensure state/city licenses and registrations are obtained on time to support geo expansion
  • Ensure state and local compliance across customer and sub-contractor contracts pre-geo launch
  • Develop scalable processes for city registrations and project permits with TAT that give us a competitive edge
  • Serve as a point of contact for escalations when they occur as a bottleneck to expansion
• Additional support for other teams:
  • Support Operations team to address any one-off legal issues pertaining to specific customer escalations (e.g. payments, warranty)
  • Support the Commercial Sales team to perform contract reviews for large commercial projects
  • Support Finance in insurance strategy and broker management as needed
• Lead our compliance and license team through regular feedback and performance management

Relativity Support

• Create new matters, data upload requests, user access requests, and project management requests in the RelativityOne dashboard
• Legal Hold Management
• Draft legal holds for review by responsible attorney. Send legal hold notices and reminders, track responses, and release legal holds at the conclusion of a matter using Relativity’s Legal Hold tool.
• Review and respond to legal hold tasks in ServiceNow
• Review HR feed to determine obligation to retain hard drives for terminated employees.

Records Management

• Help business and Legal to manage information at Voya from time of its creation to its eventual disposition, including disposition of discovery gathered as a result of legal matters. This would include, by way of example, a centralized records management system for the storage of business contracts and other important business records.
• Ensure that businesses comply with Voya records retention policies and guidelines and industry regulations. Create, implement and continuously improve records retention and information management (RIM) programs from industry best practices to assist the business and enterprise.
• Manage and organize records for efficient retention, retrieval, and disposition
• Comply with legal and regulatory requirements relating to record retention

Minimum Knowledge & Experience

• Bachelor’s degree or equivalent experience.

Working under the direction of Devoted Health’s legal team, this Paralegal will be instrumental in assisting with a variety of tasks as the Company grows in terms of markets, products, and service offerings. The inidual will primarily be focused on federal and state issues relating to Devoted Health’s Medicare Advantage operations, but will also support the Company’s medical groups and internal departments.

This Paralegal position involves a hybrid of paralegal, analytical and administrative skills including drafting legal documents such as agreements, contracts and legal memoranda, performing legal and records research (identifying relevant judicial decisions, statutes, legal articles, codes and other pertinent material), preparing miscellaneous legal forms and supporting litigation matters.

Responsibilities will include:

• Prepare and file required documents with government entities, including Departments of Insurance and Secretaries of State, on behalf of Devoted and its subsidiaries, and drafts documentation and maintains corporate records for those entities
• Regular direct communication with various regulators and agencies in response to inquiries, requests for information and submission of documents. Work often is managed and guided by precedent and/or documented procedures/regulations/professional standards with some interpretation.
• Routinely collaborate with key Devoted business segments to support the Company’s strategic initiatives and to provide general corporate guidance.
• Work with in-house attorneys, other paralegals and outside counsel when necessary.

Desired Qualifications

• Ability to work in a startup fast-paced environment, independently as well as collaboratively and operating under tight deadlines
• Bachelor’s degree, paralegal studies degree or paralegal certificate
• Minimum 2 years of corporate law, compliance department or law firm paralegal experience, preferably with experience in medical or Medicare/Medicaid insurance
